Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and PD Geek ("Company," "we," "our," or "us") governing your use of our website at pdgeek.com and any related services we provide.
By accessing our website or engaging our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our website or use our services.
Description of Services
PD Geek provides managed IT services including but not limited to:
- Security and identity management
- Endpoint management and device security
- Network infrastructure design and support
- Cloud environment management (Microsoft 365, Azure)
- Compliance consulting and implementation
- vCIO and technology strategy services
- Helpdesk and technical support
Specific services, service levels, and pricing are defined in individual Master Service Agreements (MSA) and Statements of Work (SOW) executed between PD Geek and each client.
Website Use
Permitted Use
You may use our website for lawful purposes to learn about our services, request assessments, and contact our team. You agree not to:
- Use the website in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any systems or networks
- Transmit malware, viruses, or other malicious code
- Scrape, copy, or reproduce website content without permission

Account Security
If you create an account or use any client portal, you are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
Service Engagement
Assessment and Onboarding
Engagement of our managed services begins with a security assessment. Following the assessment, a formal Master Service Agreement and Statement of Work will define the specific terms of our engagement, including:
- Scope of services and deliverables
- Service level commitments
- Pricing and payment terms
- Term and termination provisions
- Security and compliance requirements
Security Standards
PD Geek maintains a CIS Level 1 security baseline as a minimum standard for all managed environments. Clients must agree to implement required security configurations. We reserve the right to decline or terminate services for environments that do not meet our security standards.
Client Responsibilities
Clients engaging our services agree to:
- Provide accurate and complete information about their technology environment
- Maintain current license agreements for all software in use
- Cooperate with security implementation and policy enforcement
- Notify us promptly of security incidents or suspected breaches
- Ensure end users comply with acceptable use policies
- Pay invoices according to agreed terms
Intellectual Property
Our Content
All content on this website—including text, graphics, logos, documentation, and software—is the property of PD Geek or our licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
Client Data
Clients retain all ownership rights to their data. We do not claim ownership of any client data processed or stored through our services. Our use of client data is limited to providing the contracted services.
Confidentiality
We treat all client information as confidential and will not disclose it to third parties except:
- As necessary to provide our services (e.g., to technology vendors)
- With client consent
- As required by law or legal process
- To protect the rights, property, or safety of PD Geek or others
Clients agree to maintain the confidentiality of our proprietary methodologies, pricing structures, and technical documentation.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PD GEEK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR OUR SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO PD GEEK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
Disclaimer of Warranties
OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
While we implement industry-leading security measures, we do not warrant that our services will be uninterrupted, error-free, or completely secure. No security system is impenetrable, and we cannot guarantee that unauthorized access, hacking, or data loss will not occur.
Indemnification
You agree to indemnify, defend, and hold harmless PD Geek and our officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with:
- Your violation of these Terms
- Your violation of any third-party rights
- Your misuse of our services
- Your failure to comply with applicable laws or regulations
Term and Termination
These Terms remain in effect while you use our website. For managed services engagements, term and termination provisions are defined in the applicable Master Service Agreement.
We may terminate or suspend your access to our website immediately, without prior notice, for any reason, including breach of these Terms.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Collin County, Texas. You agree to waive any right to a jury trial or to participate in a class action.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date and, for active clients, via email notification. Your continued use of our website or services after changes constitutes acceptance of the modified Terms.
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Entire Agreement
These Terms, together with any Master Service Agreement and Statement of Work, constitute the entire agreement between you and PD Geek regarding our services and supersede all prior agreements and understandings.
